To use our Services, you must:

• Have the legal capacity to enter into binding agreements
• Not be prohibited from using the Services under applicable law
• Provide accurate and complete information when requested

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Intellectual Property Rights

4.1 Suxem's Ownership

All Content, software, technology, designs, methodologies, processes, and materials available through the Services are the exclusive property of Suxem Oy or its licensors, protected by Finnish and international intellectual property laws.

4.2 Restrictions

You may not, without prior written authorization:

• Copy, reproduce, distribute, or create derivative works from any Content
• Reverse engineer, decompile, or attempt to derive source code
• Remove or alter any copyright or proprietary notices
• Use Content for commercial purposes without a license
• Use automated tools to access or extract Content
• Use the Services to develop competing products

4.3 Website Engine and Platform

The Suxem Website Engine, including its architecture, component library, design token system, domain packages, and all associated code, is proprietary technology owned exclusively by Suxem Oy.

5. User Conduct

5.1 Acceptable Use

• Comply with all applicable laws and regulations
• Provide accurate information in all submissions
• Use the Services only for their intended purpose
• Respect the rights of Suxem and other users

5.2 Prohibited Activities

• Violate any applicable law or third-party rights
• Transmit malware, viruses, or harmful code
• Attempt unauthorized access to any system or data
• Conduct denial-of-service attacks
• Circumvent security measures or access controls
• Impersonate any person or entity
• Submit false or fraudulent information
• Interfere with the proper functioning of the Services

5.3 Security Testing

Any security testing requires prior written authorization from Suxem Oy. Unauthorized testing will be treated as an attack and may result in legal action.

6. User Content and Submissions

You retain ownership of User Content you submit. By submitting content, you grant Suxem Oy a non-exclusive, worldwide, royalty-free license to store, process, and use the content for service delivery and legal compliance.

We reserve the right to remove any User Content that violates these Terms, without notice.

7. Service Availability

We strive to maintain continuous availability but do not guarantee uninterrupted or error-free operation. The Services are provided on an "as available" basis.

Suxem Oy reserves the right to modify, update, or discontinue any part of the Services at any time without prior notice.

8. Third-Party Services

The Services may contain links to third-party services. Suxem Oy does not endorse or assume responsibility for third-party services and is not liable for any loss arising from their use.

9. Disclaimer of Warranties

10. Limitation of Liability

Suxem Oy shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

Total liability shall not exceed the amount you paid to Suxem in the 12 months preceding the claim.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Finnish or EU law.

11. Indemnification

You agree to indemnify and hold harmless Suxem Oy from any claims, damages, losses, liabilities, and expenses arising from your use of the Services, violation of these Terms, or violation of any applicable law or third-party rights.

12. Termination

We may suspend or terminate your access immediately, without prior notice, for violation of these Terms, suspected illegal activity, or technical/security issues.

Upon termination, your license to use the Services is immediately revoked. Provisions that by their nature should survive (IP rights, disclaimers, limitations of liability, indemnification, governing law) shall survive termination.

13. Confidentiality

Any non-public information about Suxem's technology, business operations, pricing, or strategies that you may access is confidential. You agree not to disclose or use such information for any purpose other than using the Services as intended.

14. Force Majeure

Suxem shall not be liable for failure or delay resulting from circumstances beyond reasonable control, including natural disasters, war, government actions, power failures, cyberattacks, or supply chain disruptions.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Finland. Disputes shall be resolved in the District Court of Helsinki (Helsingin käräjäoikeus).

EU consumers may seek resolution through the Finnish Consumer Disputes Board (Kuluttajariitalautakunta) or the EU Online Dispute Resolution platform.

16. Changes to These Terms

Suxem reserves the right to modify these Terms at any time. Changes are effective upon posting with an updated date. Continued use constitutes acceptance.

17. General Provisions

• Severability: If any provision is found invalid, the remaining provisions continue in full force.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Suxem Oy.
• Waiver: Failure to enforce any right shall not constitute a waiver.
• Assignment: You may not assign your rights without written consent. Suxem may assign without restriction.

These Terms of Service are governed by Finnish law. By using our Services, you acknowledge that you have read and understood these Terms and agree to be bound by them.
